We reserve the right, in our sole discretion, to suspend or terminate your access to the Site immediately, without prior notice or liability, for any reason, including but not limited to a breach of these Terms. Upon termination, your right to use the Site will immediately cease.

These Terms shall be governed and construed in accordance with the laws of the jurisdiction in which ODReference is based, without regard to its conflict of law provisions. You agree to submit to the personal and exclusive jurisdiction of the courts located within that jurisdiction for any disputes arising out of or related to these Terms or your use of the Site.

These Terms, together with our Disclaimer and Privacy Policy (if applicable), constitute the entire agreement between you and ODReference regarding your use of the Site and supersede all prior or contemporaneous agreements, understandings, or communications. Our failure to enforce any provision of these Terms shall not be considered a waiver of that provision or of the right to enforce it.
